Terms of Service

1. Who we are

Cloud Capitol ("we," "us") is a web design and development studio based in Austin, Texas. These Terms of Service govern your use of our website and the services we provide to clients. By using this site or engaging us for a project, you agree to these terms.

2. Our services

We design, build, and maintain websites and related digital products. The specific scope, deliverables, timeline, and price of any project are defined in the written proposal or agreement we provide for that project. If anything in a project agreement conflicts with these terms, the project agreement wins.

3. Quotes and payment

Quotes are valid for 30 days unless stated otherwise. Projects typically require a deposit before work begins, with the balance due at launch or on an agreed schedule. Work may be paused on accounts with overdue balances.

4. Your content

You retain ownership of all content you provide to us (text, images, logos, product data). You confirm that you have the right to use any content you supply, and you're responsible for its accuracy and legality.

5. Intellectual property

Upon full payment, you own the final delivered website design and its custom code, except for third-party components (fonts, libraries, plugins, stock assets) which remain governed by their own licenses. We may display completed work in our portfolio unless we agree otherwise in writing.

6. Third-party services

Websites we build often rely on third-party services such as hosting providers, domain registrars, payment processors, and analytics tools. Those services have their own terms and fees, and we're not responsible for their availability or actions.

7. Warranties and disclaimers

We build things carefully and stand behind our work, but our website and services are provided "as is" without warranties of any kind, express or implied, including fitness for a particular purpose. We don't guarantee specific business results, search rankings, or uninterrupted availability.

8. Limitation of liability

To the maximum extent permitted by law, our total liability for any claim arising out of our services is limited to the amount you paid us for the project giving rise to the claim. We're not liable for indirect, incidental, or consequential damages, including lost profits or lost data.

9. Termination

Either party may end a project engagement with written notice. If you end a project mid-way, you're responsible for payment covering work completed to that point. Sections 5, 7, and 8 survive termination.

10. Governing law

These terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles. Any disputes will be resolved in the courts located in Travis County, Texas.

11. Changes to these terms

We may update these terms from time to time. The current version will always live on this page with its effective date above. Continued use of our site or services after a change means you accept the updated terms.
